KATHMANDU: The Securities Board of Nepal (SEBON) has prioritized mobilizing investment for green energy and sustainable development projects through its newly issued Primary Capital Market Reform Policy, 2026.
The policy aims to transform Nepal’s primary capital market into a modern, competitive and internationally aligned source of financing, with a strong focus on green finance, climate finance, sustainable bonds and ESG-based investment.
SEBON has proposed gradually institutionalizing ESG-related disclosures in public offerings and corporate information. It has also highlighted instruments such as green bonds, social bonds and sustainability bonds to channel capital toward environmentally friendly and socially beneficial projects.
The policy sets a 10–15 year vision to establish the primary capital market as a major source of financing for national development. It also aims to make the IPO process more transparent, fully digital and time-bound while expanding capital-market access for SMEs, technology-driven companies and innovation-oriented businesses.
To broaden investment and financing opportunities, SEBON has proposed introducing new instruments, including Real Estate Investment Trusts (REITs), Infrastructure Investment Trusts (InvITs), green securities, digital securities and SME-focused platforms.
The reforms are expected to expand financing options for companies and development projects while providing investors with a wider range of investment opportunities, particularly in Nepal’s green energy and sustainable development sectors.
